Terms and conditions

By using scrumi.io (the 'Service'), you are agreeing to the following terms and conditions (the "Terms of Service").

You agree that these Terms of Service constitute the entire agreement between you and Scrumi and govern your use of the Service, regardless of any prior agreements made, and regardless of any other information provided by Scrumi.

Your account

You must provide legally correct information during the account and subscription registration, and ensure that this information is subsequently kept up-to-date in the Service.

You must maintain the security of your account credentials, as well as the account credentials of all user accounts created in your account.

You must ensure that each user account created in your account is used by only one person. Sharing a user account among multiple people is not allowed.

You are legally responsible for all content that you submit to the Service and all activity that occurs in your account. This includes content submitted and activity performed by other people who have user accounts in your account.

You may not use the Service for any illegal or unauthorized purposes, or violate any laws in your jurisdiction in your use of the Service.

Billing, payment, and refunds

When you sign up for a paid subscription, you must provide a valid credit / debit card that will be charged for your use of the Service.

If you are a company registered in the UK or EU, you must provide a valid VAT number that will be used for the billing.

The Service is billed in advance on a monthly basis and is non-refundable. You will be billed for your first month immediately when you sign up for a paid subscription. You are billed according to the number of user accounts registered in your account at the time of the billing and the price per user per month that applies to your subscription and your account at the time of the billing.

If you upgrade or downgrade your subscription, or if the number of registered user accounts in your account changes, or if the price per user per month changes, this will not affect your current billing period, i.e. no refunds, credits, or pro-rata billing will be made for your current billing period to reflect such changes.

If you cancel your account, there will be no refunds for the remaining period of your current billing period.

You are responsible for the payment of all taxes, levies, and duties imposed on you by taxing authorities.

The prices of the Service are specified without VAT and other taxes, levies, and duties. VAT may be added in your bill according to where your company is registered.

All prices are in US dollars, if nothing else is specified.

Cancellation and termination

You are responsible for cancelling your account. You can do this from within the Service, or by contacting Scrumi. A cancellation is not effective until you have received a confirmation by email. Until you have received such an email, your account may still be open and be subject to billing, and you are responsible for retrying the cancellation until you receive confirmation.

When your account is cancelled, all content in your account will become unavailable to you immediately, and may be permanently deleted.

If you cancel your account, the cancellation will take effect immediately, regardless of any remaining time in your current billing period.

Scrumi has the right to suspend or terminate your account at any time for any reason. If your account is terminated by Scrumi, all content in your account will become unavailable and may be permanently deleted.

Maintenance and technical support

Scrumi will make an effort to notify in advance of upcoming planned maintenance of the Service, but is not required to do so, and may perform planned and unplanned maintenance of the Service at any time, causing the Service to be partially or fully unavailable during that period.

Scrumi provides technical support if you have a paid subscription for the Service. The technical support is provided by email.

There is no guaranteed response time for technical support requests, and Scrumi is not required to provide a resolution to a support request.

You are not entitled to a certain amount of technical support, or number of support requests answered per period, and Scrumi has the right to refuse to answer your requests for any reason.

Changes to the Service, prices, and Terms of Service

Scrumi has the right to modify or discontinue the Service at any time, temporarily or permanently, without notice.

Scrumi may change the price of any subscription for the Service, or any other price related to the Service, with a notice of 30 days. The notice may be given in the Service itself or in another medium commonly used by Scrumi to communicate information about the Service.

Scrumi has the right to modify the Terms of Service without notice. You can find the most current version of the Terms of Service at http://www.scrumi.io/terms.html.

Liability

You agree to use the Service at your own risk. The Service is provided "as is" and "as available".

You understand and agree that Scrumi shall not be liable to you or any third party for any loss or damage whatsoever that is related to your use of the Service, regardless of whether you have notified Scrumi about this in advance. This includes, but is not limited to, any loss or damage from failures in the Service; loss of or changes to data stored in the Service; unauthorized access or modifications to your data in the Service; functionality added, changed, or removed in the Service; other changes made to the Service; the Service becoming temporarily or permanently unavailable; or violation of third party rights by Scrumi.

Scrumi does not warrant that the Service will meet your requirements and does not warrant anything in terms of the uptime, availability, reliability, durability, security, privacy, quality, correctness, accuracy, failure rate, error level, or performance of the Service.

Scrumi is not required to correct errors detected in the Service, regardless of their consequences.

You understand that Scrumi uses third party vendors, hosting providers, and other service providers to provide the necessary software, hardware, network, storage, hosting environment, and other technologies to run the Service.

Rights

You may not reproduce, copy, sell, resell, or exploit any part of the Service.

If you have a paid subscription or another non-trial subscription for the Service, you agree that Scrumi can include you as a customer in its promotional material, unless you have contacted Scrumi and asked to be excluded from such material.

You acknowledge and agree that Scrumi owns all right, title, and interest in the Service, including all intellectual property rights in the Service.
